Welcome to Emery-Pratt’s website. The goal of this web site is to provide access to the widest selection of books possible to our customers. To insure a safe, nonoffensive environment for all of our users, we have established our Emery-Pratt Terms of Service. It spells out what you can expect from us and what we expect from you.

Emery-Pratt’s website contains pricing, ordering, and other account information that is confidential between your business and Emery-Pratt. It also provides links to third-party sites (for which Emery-Pratt has no responsibility) of companies which may be providing service in connection with your business/institution’s orders.

Before accessing and using this service, your business/institution must agree to the following Terms and Conditions on behalf of all the employees of your business/institution (collectively the "Users") to whom you provide your account’s ID and PIN.

Emery-Pratt is a registered trademark of Emery-Pratt Company. All rights reserved. All other trademarks, product names, and company names and logos appearing on Emery-Pratt’s website are the property of their respective owners.
Your business/institution acknowledges and agrees that it is responsible for protecting and safeguarding its ID and PIN from any unauthorized use, and you agree to maintain the confidentiality of that information. In addition, should any of your employees with access to Emery-Pratt’s website leave your business/institution, you will be responsible for changing your PIN if you believe such a step is warranted. Emery-Pratt is not responsible for any liability arising from any unauthorized use of this service (including without limitation from your business/institution or from any User’s failure to safeguard an ID or PIN from unauthorized use, or from a former employee’s use of a PIN your business/institution has not changed to obtain access to your business’/institution’s accounts information contained on the Emery-Pratt website) and/or for any breach of the above confidentiality obligations.
This service has e-mail messaging capabilities. You hereby represent and warrant that your employees are authorized to send e-mail messages and that such messages shall not infringe any proprietary or other rights of third parties or contain any otherwise unlawful information.
User expressly agrees that use of the Emery-Pratt website is at User's sole risk. Neither Emery-Pratt, nor its affiliates, nor any of its officers, directors, or employees, agents, third-party content providers ("Providers"), merchants ("Merchants"), or the like, warrant that it will be uninterrupted or error-free; nor do they make any warranty as to the results that may be obtained from the use of the Emery-Pratt website, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through Emery-Pratt.

Emery-Pratt’s website is provided on an "as is," "as available" basis without warranties of any kind, either expressed or implied, including but not limited to warranties of title or implied warranties of merchantability or fitness for a particular purpose. Under no circumstances shall Emery-Pratt or any other party involved in creating, producing, or distributing the Emery-Pratt website be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or inability to use the Emery-Pratt website, including but not limited to reliance by a User on any information obtained from the Emery-Pratt website or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction, or unauthorized access to Emery-Pratt’s records, programs, or services. User hereby acknowledges that this paragraph shall apply to all content, merchandise, and services available through the Emery-Pratt website. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states liability is limited to the fullest extent permitted by law.

Except as provided in the preceding sentence or as permitted by the fair use privilege under the U.S. copyright laws (see e.g. 17 U.S.C. Section 107), User may not upload, post, reproduce, or distribute in any way Content protected by copyright, or other proprietary right, without obtaining permission of the owner of the copyright or other propriety right. In addition to the foregoing, use of any software Content shall be governed by the software license agreement accompanying such software.
Emery-Pratt may terminate User access, or suspend any User's access to all or part of the Emery-Pratt website, without notice, for any conduct that Emery-Pratt, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of another User, a third-party Provider, a Merchant, a service provider, or Emery-Pratt.
This Agreement represents the entire understanding between you and Emery-Pratt regarding your relationship with of the Emery-Pratt website and supersedes any prior statements or representations. YOU AGREE TO BE BOUND BY THE EMERY-PRATT WEBSITE TERMS OF SERVICE by using the Emery-Pratt website.
The Emery-Pratt Website Terms of Service will be changed from time to time and we will provide notice of changes to the Terms of Service on the Website. You agree that your continuing use of the Website is subject to the current Terms of Service posted on the Website.
